  1. SCOPE

These General Terms and Conditions of Sale (the “GTCS”) shall govern and form an integral part of all offers and sales made by our company, MONOLITH BOARD GAMES, a French Limited Liability Corporation (SARL), with a single shareholder, registered at the registry of Commerce of Paris under number 820 987 089, organized and existing under the laws of France, with a share capital of € 1 000 and having its registered offices at 11, avenue du Colonel Bonnet, 75016 Paris, FRANCE, (“MONOLITH BOARD GAMES”, “we”), of products ordered by private individuals, i.e., natural persons over 18 years of age or emancipated minors, or having parental or guardian authorization, acting for themselves and not representing any group, company or organization (the “Customer”, “you”).

These GTCS supplement the General Terms and Conditions of Use Terms of Use. Except as otherwise provided herein, if any provision contained in these GTCS is in conflict with, or inconsistent with, any provision in The General Terms and Conditions of Use, the provision contained in these GTCS shall govern and control.

Customer warrants they have the full legal capacity to contract, create a customer account (the “Customer Account” or “Account”) and buy using a valid personal credit or debit card or any other means of payment as accepted on the Website.

MONOLITH BOARD GAMES reserves the right to modify any provision of these GTCS and/or delete or add provision(s) at any time and without notice.   1. PRODUCTS AND PRICES

Our product offers and their prices remain valid while displayed on our Website, within the limits of available stocks. As such, the availability of the products is indicated when you place your order. The essential characteristics of the products are described and presented with the greatest possible accuracy.

Some of our products are offered for pre-order with the indication of an estimated availability date. If the pre-ordered products turn out to be unavailable on the estimated availability date, you will be notified by e-mail.

The prices of our products are indicated in euros, all taxes included, excluding the cost of order processing and shipping. The amount of the delivery costs is specified before confirmation and acceptance of the order.

All orders placed on the Website, whatever their origin, are payable in euros. Each product is invoiced at the price displayed at the time the order is placed.

For all products shipped outside the European Union and to the French Overseas Territories and French Overseas Collectivity (together “FOT-FOC”), we will not collect VAT but import customs duties or other local taxes may be due. The payment of these import duties and taxes is your sole responsibility, both in terms of declarations and payments to the competent collecting bodies of your country or territory of residence. It is your responsibility to inquire directly with the said organizations to find out which rules apply. For United Kingdom, Monolith Board Games will collect the VAT upon payment of the order, we have implemented the DDP (Delivery Duty Paid) to do so.

  1. CUSTOMER ACCOUNT

You need to set up your own Customer Account on our Website to place orders or pre-orders and have a valid credit or debit card associated with it. You must log in by entering your e-mail address and password to place an order or pre-order.

You are solely responsible for maintaining the confidentiality of your Account and password and for restricting access to your Account. Further, you irrevocably accept responsibility for all activities that occur under your Account or password.

At its sole discretion, MONOLITH BOARD GAMES can terminate your Account if (i) you leave comments deemed illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights (including publicity rights), or otherwise injurious to third parties or objectionable. MONOLITH BOARD GAMES can also, at its sole discretion; (ii) you repeatedly default on your payments, (iii) you do not comply with these GTCS.

  1. ORDERS

Orders and pre-orders are made on the Website in the “Shop” area by clicking on the “Add to cart” or “Pre-order” button. Orders can only be placed on our Website.

Unless you choose to exercise your right of withdrawal, the sale shall be deemed final on the date we accept your order or pre-order.

Once your cart has been confirmed, you must choose the address and delivery method and confirm your payment means. This last step formalizes the sales contract with MONOLITH BOARD GAMES.

You can also place an order in a single step (“order in 1 click”). This single step formalizes the sales contract with MONOLITH BOARD GAMES, which you accept without reservation.

Any order implies acceptance of the prices and descriptions of the products available for sale. As soon as you confirm your order, we will send you an e-mail acknowledging receipt of such order.

In the event of non-payment, incorrect address, or any other issue related to your Customer Account, we reserve the right to block your order until such issue is resolved.

We will send you an e-mail if a product you ordered is out of stock. A refund for such a product shall be issued. The rest of the order shall remain firm and final.

At our discretion, we may cancel or refuse any order or pre-order placed by a Customer with whom there is a dispute relating to the payment of a previous order.

  1. PAYMENTS

Payments can be made by Blue card, Visa, or Mastercard via the secure online payment site Payplug at https://www.payplug.com/online-payment/

Paypal can be used for the payment on our website for the following countries (USA – Canada – Norway – Sweden – Denmark – Iceland – Finland)

Payment can also be made in 3 or 4 times by credit card from 100€ of purchases up to 3000€ with Oney Bank.  After having submitted your order, you will be redirected to Oney Bank website which will authorize the payment of your order. Oney Bank is a public limited company with a capital of €51,286,585 whose registered office is located at 34, avenue de Flandre 59170 Croix, it is registered at the RC of Lille Métropole under number 546 380 197. Oney Bank is authorised as a credit institution by the French Prudential Supervision Authority (ACPR), 4 Place de Budapest, CS 92459, 75436 Paris Cedex 09, and is subject to its supervision.   1. SHIPMENT AND DELIVERY METHODS

When you place an order, you have several options for delivery methods which vary according to the size of your parcel and your delivery address.

In Metropolitan France, you can choose from the following:

  • • 24/48h home delivery (1 to 2 days from your order confirmation).
  • Point Relais Colis (2 à 4 jours à compter de la confirmation de votre commande de livraison standard). • Point Relais Colis (2 to 4 days from your standard delivery order confirmation). For picking up your parcel at the chosen Point Relais Colis, you must present a valid ID and, where applicable, the card used for payment. Your parcel is available for fourteen (14 days) from the date of its arrival at the chosen Point Relais Colis.
  • • Colissimo for small products whose length is less than or equal to 100 cm (3 to 6 days from confirmation of your order). Delivery is made by La Poste.

For shipments to FOT-FOC and abroad, DHL or UPS will be used depending on the destination. The delivery time is variable and given as an indication depending on the selected destination. We will send you by email the parcel number to allow you to track it on the website of the chosen delivery company.

  1. COMPLAINTS AND RETURNS

We undertake to exchange products that appear to be defective or damaged or that do not comply with your order. In such a case, please send us an e-mail at support@monolithedition.com detailing the issue.

If you have received a defective or damaged product(s) or defective or damaged component(s), please return any such product(s) or element(s) so that we can send you the replacement product(s) or component(s). The terms of return will be indicated to you in response to your e-mail. In addition, if one or more components are missing when you receive your product, please let us know which ones are missing so we can send them to you.

The shipping costs of the defective product will be reimbursed to you based on the lowest shipping costs among those you have chosen during your initial order.

In any case, you benefit from the legal guarantee of conformity provided for by French law, namely:

  • • You have a period of two years from the product delivery to take action against us.
  • • You can either choose to have the goods repaired or replaced, subject to the cost conditions provided for in Article L. 217-9 of the French Consumer Code,
  • • You are exempted from providing proof of the existence of the lack of conformity of the goods during this period.

This warranty allows you to obtain the repair or exchange of your product free of charge, subject to the cost conditions provided by law. However, if such repair or exchange is impossible or cannot be made within one (1) month from the date we receive it, we shall issue a full refund for such product, including delivery costs.

To exercise this guarantee, the products must be returned to us as they were received with all their components (accessories, instructions, etc.) and a copy of the invoice. In addition, products returned by postal services must be adequately packaged to ensure a safe shipment. The cost incurred for returning the product shall be reimbursed according to the terms under 3rd paragraph of section 7

All refunds are made within a thirty-day period after we have received the defective or damaged product. Refund of the shipping costs on the initial order shall be made according to the least expensive shipment mode available at the time of the order.

  1. RIGHT OF WITHDRAWAL

In accordance with the provisions in force, you have fourteen (14) calendar days from receipt of your products to exercise your right of withdrawal without justification or penalty fee. To do this, use the tab “I wish to return a product” under the contact form to notify us of your decision to exercise your right of withdrawal before the expiration of said fourteen (14) calendar days.

After this notification, you have an additional 14-day period to return the product(s) in a trackable or registered parcel return receipt requested to the following address: For products bought in Canada or in the USA : Bolloré Logistics Canada, 3400 Douglas B. Returned products must be in their original condition and complete, including but not limited to; packaging, components, and instructions, and accompanied by a copy of the invoice. Products that are returned incomplete, damaged, or soiled by you will not be refunded. However, products that are obviously damaged during shipping will be reimbursed. In such case, you shall provide photographs of the package as you received it and attach the complaint you have placed with the postal services.

Only the price of the products subject to withdrawal will be refunded, with the return costs remaining at your expense. The refund will be made within fourteen (14) days of receipt of your exercise of the right of withdrawal. However, we may differ the refund until such product(s) are received.

Certain products and services listed under Article L221-28 of the French Consumer Code cannot be subject to a right of withdrawal. This includes the supply of digital content not provided on a material medium, the execution of which began after your prior agreement and for which you expressly waive your right of withdrawal.

  1. MEDIATION

In accordance with the provisions of the French Consumer Code with regard to the amicable settlement of disputes, MONOLITH BOARD GAMES adheres to the Service of the e-Commerce Mediator of the FEVAD (Federation of e-commerce and distance selling), whose contact information are the following: 60 rue de la Boétie, 75008 Paris, FRANCE and http://www.mediateurfevad.fr/.   1. CONVENTION OF PROOF

Pursuant to Article 1366 of the French Civil Code, the proof of your order on our Website is established from the moment you provide your credit or debit card number and confirm your order. Therefore, payment for the products listed on the purchase order is due.

This confirmation is worth signature and express acceptance of all the operations carried out on the Website. However, in the event of fraudulent use of your credit card, please report any such fraudulent use without delay at support@monolithedition.com.

The computerized records, kept in MONOLITH BOARD GAMES’ computer systems under reasonable security conditions, will be considered proof of communications, orders, and payments between you and us.

The archiving of purchase orders and invoices is carried out on a reliable and lasting medium so as to correspond to a faithful and lasting copy per Article 1379 of the French Civil Code.

  1. RESPONSIBILITY OF MONOLITH BOARD GAMES

We take great care at all stages of order taking and strive to accurately describe the products sold on the Website with the greatest possible accuracy.

However, we cannot be held liable if the non-performance of our obligations is attributable either to the unforeseeable and insurmountable event of a third party to the contract or a case of force majeure as defined by French case law.

Similarly, we cannot be held liable for any breakdowns, slowdowns, or damage inherent in the use of the Internet network, in particular, a service disruption, an external intrusion, or computer viruses.

  1. APPLICABLE LAW AND JURISDICTION

These BTCS are subject to French law. The competent court, in the event of a dispute, will be that of the place of residence of the defendant or, at the choice of the plaintiff, of the place of actual delivery of the product. The Website complies with French legislation, and under no circumstances does MONOLITH BOARD GAMES give any guarantee of compliance with the local legislation that would apply to you when you access the Website from another country.
